RE: “The Wendy Williams Show”- Performance of Theme Song/ Signature Expressions

For good and valuable consideration, the receipt and sufficiency of which is acknowledged, the undersigned, having the sole right to do so, hereby grants to TALK WW PRODUCTION, INC. (“Producer”) and its parents, owners, partners, licensees, designees, assignees and successors an irrevocable non-exclusive license to exhibit, reproduce or otherwise use the Clip described below, including all names, in connection therewith in the television program entitled “The Wendy Williams Show” (“Program”) and in connection with the exhibition, distribution, advertising, promotion and exploitation of the Program and, in any manner whatsoever, by any and all means, media, devices, processes and technology now or hereafter known or devised in perpetuity throughout the universe:

The undersigned, as the parent of and/or the legal guardian for the child/ children described above and featured in the Clip, represents and warrants that the consent of no other person or entity is required to enable Producer to use the Clip and that such use will not violate or infringe upon the trademarks, service marks, trade names, copyright, artistic and/or other rights of any third parties, including the rights of publicity and/or privacy. The undersigned hereby indemnifies Producer, Producer’s parents, owners, partners, principals, licensees, designees, assignees and successors from and against any and all claims of any kind or nature whatsoever by third parties arising from or relating to the use of the Clip, including, without limitation, those based upon defamation (including libel and slander), invasion of privacy, right of rights, and the undersigned agrees that it shall not now or in the future assert or maintain any such claim against Producer, Producer’s parents, owners, partners, principals, licensees, designees, assignees and successors. The undersigned acknowledges and agrees that in no event shall it have the right to enjoin the production, development, distribution and/or exploitation of the Program. The undersigned acknowledges that Producer owns all right, title and interest in and to the Program, that nothing herein requires Producer to use the Clip in or in connection with the Program and that Producer has been induced to proceed with the production, distribution and exploitation of the Program in reliance upon this agreement.

Producer will not have any obligation to return the Clip or any accompanying photographs or items sent to Producer, and the undersigned further acknowledges that Producer retains exclusive artistic and creative control of the Program and that Producer may decide, in Producer’s sole discretion, to edit the Clip, if used. The undersigned acknowledges and agrees that neither Producer nor anyone on Producer’s behalf has made any warranties, representations, guarantees or agreements of any kind as to the exposure, if at all, of the Clip or the featured participants on the Program.

PARENTAL CONSENT: I warrant that I am the parent of and/or the legal guardian for the individual child/ children who is/are the subject of the video Clip/photographs (individually and collectively, “Minor”) and agree to cause Minor to adhere to this agreement. I consent to and ratify this agreement and irrevocably guarantee and warrant that Minor will not disaffirm or disavow this agreement on the grounds that Minor is a minor or on any other similar grounds. If Minor breaches this agreement or disavows or disaffirms this agreement for any reason stated above, I agree to indemnify Producer against any and all liabilities, claims, damages and expenses of every kind whatsoever suffered or incurred as a result thereof, or in the enforcement of this agreement against Minor.
